These terms govern the Bees Referral Program, run by Bees Computing LLC (“Bees”). By submitting an application, checking the acceptance box, or taking part in the program, you agree to them.

1. What the program is
Referrers introduce businesses that might benefit from Bees’ services. Bees decides whether to work with each business. You are an independent party. Nothing here makes you an employee, agent, partner, or joint venturer of Bees, and the program is a one-way referral arrangement only.

2. Applying, approval, and ending participation
Bees reviews every application and may approve or decline it. Approval doesn’t guarantee any volume of referrals or any compensation. Bees may end your participation at any time by email, and may do so immediately for fraud, breach of these terms, spam, unauthorized claims about Bees, misuse of confidential information, or legal or reputational risk. Commission already earned under a campaign stays payable under that campaign’s terms, subject to Section 9.

3. Campaigns and order of precedence
Commission is earned only under the terms of a specific campaign you are enrolled in. Campaign terms say what can be referred, what it pays, when it is payable, which referrals are eligible, and how long credit for a referral lasts. If documents conflict, the order is: a separate written agreement signed by Bees and you, then the campaign terms, then these terms, then website or portal descriptions. Emails, presentations, and verbal statements do not change commission rights unless Bees confirms the change in writing. Introductions made before you are enrolled in a campaign earn nothing unless Bees agrees otherwise in writing.

4. Making introductions

• Introduce only people who know you are making the introduction and are open to being contacted by Bees.

• Be truthful. Do not promise outcomes, pricing, timelines, or results on Bees’ behalf.

• You have no authority to sign, commit, negotiate, or make representations for Bees.

• Comply with the laws and platform rules that apply to your outreach. Do not use purchased or scraped lists, mass email, or automated messages that represent Bees.

• Do not send Bees client records or sensitive information such as health, financial account, or legal-matter details.

5. Disclosure and compliance
Before or at the time of each introduction, you must tell the person or business you are referring that you may receive compensation from Bees if the introduction results in paid work. You confirm that taking part in this program and receiving fees does not violate any law, professional rule, ethics rule, fiduciary duty, employer or client policy, or agreement that applies to you. If it would, do not take part. Bees will not owe or pay any commission where Bees reasonably determines the referral or the payment may violate any of these.

6. Which referrals qualify
Bees decides in good faith whether a referral qualifies, based on these terms, the campaign terms, and its own records, including whether the business was already known to Bees. If more than one referrer introduces the same business, the first valid introduction counts. Bees may decline to work with any business for fit, capacity, conflict, or risk reasons, and Bees may work with other referrers, partners, and direct prospects.

7. No role in the client relationship
A referral gives you no management role, no say in scope or pricing, and no access to the client’s information, deliverables, or communications with Bees. You may not pressure or interfere with a client’s relationship with Bees. Bees shares only the status needed to administer your commission.

8. Confidentiality and personal information
Keep Bees’ non-public information confidential. Submit only business contact information you are authorized to share. Bees handles personal information under its Privacy Policy.

9. Payment, taxes, and repayment
Bees pays commission as the campaign terms describe. Before payment you must provide a tax form (W-9 or W-8) and a payout method, and Bees may hold payment until you do. You are responsible for your own taxes. If a payment from a referred client is refunded, reversed, disputed, or made in error, or if commission was paid on a referral that turns out not to qualify, you will repay the related commission, or Bees may offset it against future commissions. Bees may withhold or adjust commission in cases of fraud or breach of these terms.

10. Brand use
Do not use Bees’ name, logo, claims, pricing, case studies, or materials without Bees’ written approval, except materials Bees gives you for referral purposes, used as provided.

11. Other arrangements
Any arrangement beyond a campaign, such as sharing implementation revenue or co-managing a client, exists only in a separate agreement signed by both Bees and you.

12. Changes
Bees may update these terms or any campaign for future referrals by notice sent by email or posted in your portal. Changes won’t reduce commission on referrals you submitted before the change. Continuing to take part after notice means you accept the update.

13. Disclaimers and limits on liability
The program is provided as is. Bees isn’t liable for indirect or consequential losses, and Bees’ total liability for any claim is limited to commission owed to you under the applicable campaign. These limits don’t apply to fraud, willful misconduct, breach of confidentiality, or your repayment obligations under Section 9.

14. Acceptance, survival, and governing law
You accept these terms electronically by checking the acceptance box, clicking to accept in the portal, replying to accept by email, or continuing to take part after notice. Sections 3, 7, 8, 9, 13, and 14, and any accrued payment obligations, survive termination. Colorado law governs. We’ll try to resolve any dispute in good faith first, and either party may then bring it in the state or federal courts located in El Paso County, Colorado. Together with the terms of each campaign you join, these terms are the whole agreement.
